Job Purpose
Reporting to the General Counsel, the Manager, Partnerships/Commercial Counsel will act as a strategic legal partner to the business, driving high-impact partnerships and transactions that support growth, innovation, and strategic partnerships. This position will draft, negotiate, and advise on a broad range of agreements, ensuring the company’s interests are protected while enabling business success.
Responsibilities
Draft, review, and negotiate complex commercial agreements, including sales contracts, strategic partnerships, and licensing agreements.
Provide practical, business-focused legal counsel to sales, partnerships, marketing, and product teams on contract structures, risk assessment, and deal execution.
Lead negotiations for strategic partnerships with enterprise customers.
Develop and implement efficient contracting processes to support scalable growth while mitigating risk.
Advise on intellectual property considerations in transactions, including licensing, ownership rights, and content collaborations.
Support go-to-market initiatives by ensuring that legal frameworks align with business objectives and regulatory requirements.
Stay ahead of legal developments in commercial, technology, and IP law, providing proactive guidance to leadership.
Job requirements
Requirements
5+ years’ experience in commercial transactions, preferably in-house or at a law firm, with a focus on sales contracts, partnerships, and IP
1+ years of management experience
Familiarity or experience in Education or Education Technology
Strong negotiation skills and ability to drive favorable outcomes in complex deal structures
Deep understanding of intellectual property principles and their application in commercial agreements
Business-minded approach with the ability to balance risk mitigation with growth objectives
Excellent communication skills, with the ability to simplify complex legal concepts for business stakeholders
Proven ability to thrive in a fast-paced, high-growth environment
Required Education
J.D. from an accredited law school and active bar membership

The expected base salary range for this position is $178,000-$189,000, however the offered salary may be higher or lower than the above range dependent on numerous factors including, but not limited to location, work experience, skills and internal equity considerations. The base salary is not inclusive of benefits or other incentives.
