Job Purpose
Reporting to the Manager, Privacy Counsel, the IP and Privacy Counsel will take the lead on intellectual property portfolio management and strategy while also contributing to privacy compliance and legal support for digital products.
Responsibilities
Intellectual Property (Primary Focus)
IP Portfolio Management:
Manage the company’s trademark and copyright portfolios, including making all new filings and renewals with the USPTO.
Provide IP enforcement support in collaboration with the Senior Counsel and outside counsel, as needed.
Maintain accurate documentation of rights, licenses, and IP assets in the Digital Asset Management System (DAMS).
Rights Clearance and Licensing:
Research restrictions and confirm use permissions for fine art and other third-party assets as needed to support the permissions team.
Review, draft, and negotiate permissions and content license agreements, ensuring necessary rights are secured and usage restrictions identified.
Provide guidance on high-risk requests (e.g., refusals, high licensing fees, orphan works) and advise content teams on alternatives.
Collaborate with content teams to assess needs and advise on IP issues.
Legal Research, Strategy, and Education:
Monitor and analyze IP case law and regulatory developments, summarizing takeaways for the legal and content teams and to inform enterprise IP strategy.
Conduct copyright and trademark research, including public domain, fair use, and multiple rightsholder analysis.
Draft and maintain templates, playbooks, and training materials to educate internal teams on copyright, IP rights, and clearance processes.
Cross-Functional Support and Vendor Management:
Collaborate with the Senior Counsel, Technology and Partnerships, on strategic partnerships and complex transactions, providing expert IP advice.
Cultivate productive relationships with third-party rights holders, vendors, and agencies to streamline rights acquisition and enforcement efforts.
Partner with curriculum, marketing, and product teams to ensure IP considerations are integrated into workflows.
Manage efficient spend and working relationships with IP-related vendors.
Maintain flexibility to take on other duties and responsibilities as assigned.
Privacy and Digital Product Support (Secondary Focus):
Support privacy compliance efforts by assisting with data privacy reviews and data governance projects.
Contribute to the development of processes, policies, playbooks, and training on privacy best practices and privacy program maturation.
Assist with data mapping, incident response and data subject requests, under the guidance of the Manager, Privacy Counsel.
Maintain flexibility to take on other duties and responsibilities as assigned.
Job requirements
Requirements
3+ years of legal experience, with significant exposure to intellectual property law (copyright, trademark, licensing) including in the registration, enforcement, and transactional contexts
Strong research and analytical skills, including ability to track and synthesize legal developments in IP law and incorporate those findings into enterprise IP strategy
Strong writing and negotiation skills
Clear and effective written and verbal communication skills
Ability to manage and prioritize multiple projects with precision and attention to detail
Preferred Qualifications
Experience with IP portfolio management
Prior experience with publishing and/or edtech industries
Exposure to or interest in US and/or global privacy regulations (FERPA, COPPA, CCPA, etc.)
Familiarity with content, digital asset, and contract management systems
Required Education
Juris Doctor (JD) degree or international equivalent; admission to at least one U.S. state bar

The expected base salary range for this position is $94,000-$106,000, however the offered salary may be higher or lower than the above range dependent on numerous factors including, but not limited to location, work experience, skills and internal equity considerations. The base salary is not inclusive of benefits or other incentives.
