We’re looking for an Associate General Counsel who be essential to helping Great Minds grow its business through negotiating partnerships and complex supply agreements, increasing communication and coordination both inside and outside of Great Minds. You’ll need to be deeply experienced in complex commercial transactions that involve unique issues, comfortable exercising judgment in difficult times, and a warm and engaging manager with a great ability to communicate.

Duties & Responsibilities

  • Report to the GC and manage Great Minds’ commercial matters, identify and strategize at the highest level about risks, and advance Great Minds’ interests
  • Draft and review various commercial agreements (including sales, supply and distribution, business development, marketing, IT, and employment)
  • Act as a strategic partner on matters of importance to the company by providing thoughtful, creative, and timely legal advice
  • Work with the business team and across the company to structure mutually beneficial and enduring commercial relationships
  • Experience creating corporate formalities for start-ups, ensuring the company is following best practices and drafting related documents, templates, and more
  • Defend the brand against trademark and copyright infringement
  • Provide day-to-day legal advice in all areas of employment law including employment contracts, employee disputes, HR policies and procedures, and sexual harassment matters
  • Research and interpret education laws and provide actionable advice and counsel
  • Manage outside counsel to ensure effective, yet efficient representation, overseeing legal strategy, budgeting, and billing.
  • Train internal clients on various legal or regulatory issues, approaches and preferred practices
  • Advise on legal issues with respect to corporate governance

Job requirements

Education & Experience

  • JD from a top school and 8-10 years of law firm and in-house experience
  • Strong commercial background, including significant experience drafting and negotiating multi-year agreements related to complex educational, publishing and intellectual property, plus experience negotiating with sophisticated and large counterparties
  • Desire to work in a fast-paced environment with many new challenges; a good sense of humor and positive outlook; a keen aptitude for problem-solving
  • Knowledge of ERISA and state employment laws and regulations a plus
  • Strong leadership presence
  • Ability to interact effectively with all levels of the organization
  • Ability to communicate clearly, concisely and persuasively

  • Be entrepreneurial and willing to find a practical solution to compliance and legal questions
  • Be able and willing to solve challenges through innovation; able to work with minimal direction and supervision; proactive, not reactive
  • Be forward-looking in issue identification and avoidance (in addition to managing issues that have already arisen)
  • Be involved at the outset and throughout the development of compliance solutions
  • Demonstrate leadership presence
  • This will be an in-office role with a hybrid model of 2-3 days in office.  Our DC office is two blocks from Nats Stadium in Navy Yard.
